1. SERVICES PROVIDED

We provide personalized one-on-one business consulting services, including but not limited to:

  • Documentation of workflows, roles, and operational logic

  • Business automation strategy and system architecture

  • Operational and strategic consulting

All services are provided on an individual and customized basis.


2. CONSULTING NATURE OF SERVICES

Our services are consulting and educational in nature.

We do not provide:

  • Legal advice

  • Accounting or tax advice

  • Financial or investment advice

  • Medical or psychological services

Clients are responsible for consulting licensed professionals where required.


3. NO GUARANTEES OF BUSINESS RESULTS

We do not guarantee:

  • Business growth

  • Revenue or profit increases

  • Automation success

  • Market or financial outcomes

Any examples, recommendations, or guidance are provided for informational purposes only.


4. CLIENT RESPONSIBILITIES

By using our services, the client agrees to:

  • Provide accurate, complete, and truthful information

  • Participate actively in the consulting process

  • Provide access to relevant business information and systems when required

  • Make independent decisions and assume responsibility for implementation


5. COMMUNICATIONS & CONSENT

By providing contact information, the client consents to receive:

  • Service-related communications

  • Transactional messages (appointments, confirmations)

  • Educational information

  • Marketing communications (only where explicit opt-in is provided)

Consent may be withdrawn at any time in accordance with our Privacy Policy.


6. PAYMENTS & BILLING

  • Fees are disclosed prior to purchase

  • Payments are processed via third-party payment providers

  • Payment terms are specified at the time of purchase

Unless explicitly stated otherwise in writing, all sales are final, subject to Section 18 (Refund Policy).


7. SCHEDULING & ATTENDANCE

  • Sessions are scheduled by mutual agreement

  • Missed sessions without prior notice may be forfeited

  • Rescheduling is subject to availability and prior agreement


8. INTELLECTUAL PROPERTY

All materials, documents, frameworks, methodologies, templates, and systems created or provided are the intellectual property of Luiza Guskova.

Clients may not copy, distribute, sell, license, or share materials with third parties without prior written consent.


9. CONFIDENTIALITY

Both parties agree to maintain confidentiality of:

  • Business information

  • Internal processes and systems

  • Non-public communications

except where disclosure is required by law.


10. THIRD-PARTY TOOLS & PLATFORMS

We may use third-party tools and platforms, including CRM systems (such as Client Flow), communication platforms, and automation tools.

We are not responsible for outages, errors, or failures caused by third-party services beyond our control.


11. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Luiza Guskova shall not be liable for:

  • Indirect, incidental, or consequential damages

  • Loss of profits, revenue, or business opportunities

  • Decisions made or actions taken by the client

Total liability, if any, shall not exceed the amount paid for the services giving rise to the claim.


12. TERMINATION

We reserve the right to suspend or terminate services if:

  • These Terms are violated

  • Payment obligations are not met

  • Client behavior is abusive, unlawful, or unethical


13. DATA PROTECTION & PRIVACY

Personal data is processed in accordance with our Privacy Policy, which forms an integral part of these Terms.


14. GOVERNING LAW & JURISDICTION

These Terms are governed by and construed in accordance with the laws of Georgia, without regard to conflict of law principles.

Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Georgia.


15. SEVERABILITY

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.


16. MODIFICATIONS TO TERMS

We reserve the right to update or modify these Terms at any time.
Changes become effective upon publication with an updated “Last Updated” date.


17. GUARANTEE OF BUSINESS SYSTEM DOCUMENTATION

We guarantee that, as part of our one-on-one consulting services, the client’s business system will be described and documented.

This includes documentation of:

  • Business processes

  • Workflows and operational logic

  • Structural elements necessary for automation and scalability


18. GUARANTEE & REFUND POLICY

If the agreed business system documentation is not delivered, the client is entitled to a refund of the fees paid for the relevant services.

This refund applies only if:

  • The documentation was not delivered as agreed; and

  • The client reasonably cooperated and provided required information and access.

No refund will be issued if non-delivery results from:

  • Client’s failure to provide necessary information or access

  • Missed sessions or lack of participation

  • Scope changes not agreed upon in writing
